SALE AND PURCHASE AGREEMENT FOR GOLD DUST CIF DELIVERY

WHEREAS: Seller has available for sale of Gold Dust, hereinafter collectively referred to as “Gold”.

NOW THEREFORE: The Parties agree to the Terms and Conditions as follows:

SCOPE OF THE CONTRACT: 合同適用范圍：
a) The Seller, under full authority and responsibility, declares that he has the capability and unrestricted right to sell the Gold and guarantees that he is capable to legally export the Gold Dust.
賣方在完全權(quán)利和責(zé)任下，聲明其有能力和自由權(quán)利去銷售黃金及保證是合法出售。
Seller must pay the full of local taxes, duties, insurance, smelting/assay, government fees, shipping cost from location of gold to loading airport, shipping cost from departure of origin to buyer designated airport.
賣方必須全額支付當(dāng)?shù)囟愘M(fèi)，關(guān)稅，保險(xiǎn)，檢驗(yàn)，政府費(fèi)用，從當(dāng)?shù)氐綑C(jī)場(chǎng)運(yùn)費(fèi)，機(jī)場(chǎng)到最終買方目的地機(jī)場(chǎng)運(yùn)費(fèi)。
After the gold is delivered to buyer designated airport, Seller Representative or Shipping Agent must allow the buyer to see and inspect the whole quantity of the product in person. Seller Representative or Shipping Agent is not allowed to ask for random sample fee or diplomat fee or security storage fee or release charge or warehouse fee, etc. Payment is made 100% at a go by swift transfer after satisfactory final assay report for the whole quantity in buyer selected refinery.
當(dāng)黃金運(yùn)送到達(dá)買方目的地機(jī)場(chǎng)，賣方代表人或運(yùn)輸代理必須同意讓買方親自看和檢測(cè)全部的數(shù)量。賣方代表人或運(yùn)輸代理不能收取隨機(jī)抽樣費(fèi)或者外交費(fèi)或者安全保管費(fèi)或者倉(cāng)庫(kù)發(fā)放費(fèi)等等，100%的貨款必須在買方的精煉廠對(duì)全部數(shù)量做出最終的滿意報(bào)告后進(jìn)行電匯。
b) The Buyer, under full corporate authority and responsibility declares that he and his associates have the full capability to purchase the un-refined gold and such purchase will be increased with options of annual extensions.
買方在完全法人權(quán)利和責(zé)任下聲明其和其合作伙伴完全由能力去采購(gòu)未提煉的黃金及今后將會(huì)增加年度采購(gòu)量。
Any excuse of delayed or partial payment is not accepted after final assay and the value accepted by both Buyer and Seller.
當(dāng)雙方接受最終的檢驗(yàn)報(bào)告和接受其價(jià)值后，任何的延遲或部分付款理由都不再接受。
c) Should any irregularities during the course of this exercise is executed details shall be notified to the relevant authorities which will be followed up by a ruthless pursuit for breach of contract.

Seller agrees to sell and deliver to the Buyer under the Terms of this Agreement a spot quantity of 500KG. The 100KG can be delivered on tranches of 100KG. If requested by the refinery based daily capacity. And tranches will be determined by or Buyer.
賣方同意按照本協(xié)議的現(xiàn)貨500KG銷售和交貨，100KG可以作為一部分交貨，如果基于精煉廠每日產(chǎn)能，數(shù)量可由買方?jīng)Q定。
PRICE: 價(jià)格：USD/KG CIF價(jià)
a) The price payable by the Buyer to the Seller is fixed at price US$XXXXXUSD per kg of gold dust CIF.

b) Referenced funds in this agreement to be wired, is in United States Currency only.

DELIVERY TERMS: 交貨條款
a) The delivery terms for this S.P.A. agreement shall be on a CIF basis (by Air-cargo) to the Buyer's designated airport ( )

b) The Seller will pay all taxes, duties, insurance, etc, in the country of origin.

b) The Seller will bear the shipping cost from the departure point (Accra, Ghana) to the Buyer’s designated destination airport ( ).

c) The Buyer will clear shipment of Gold Dust through Customs at the port of import. The Buyer will transport the gold from Buyer’s designated airport ( ) under the Seller’s name but at the Buyer’s Cost to the Buyer’s designated refinery.
買方將在進(jìn)口港通過(guò)海關(guān)進(jìn)行黃金的清關(guān)
e) The Buyer will be physically present at Customs of the port of import and to insure all procedures have been followed and actual delivery was completed to the refinery. Buyer will notify the Seller of successful completion of events in written form.
買方將要在進(jìn)口海關(guān)確保整個(gè)流程是按照實(shí)際的完整交貨到精煉廠，買方要以書(shū)面形式通知賣方事情已成功辦理完成了。
f) Legal Ownership of Gold Dust is retained by the Seller until the payment in full is received by Seller’s bank from the Buyer.
黃金的法定所有權(quán)保留在賣方手里直到收到買方的所有貨款。
PAYMENT TERMS: 付款方式：
Final payment for the Gold shall be made by Wire Transfer to the Seller's designated Bank, within 48 hours after receipt of final assay report from the refinery. Payment Notice will serve as part of the contract and has the same legal effect.
在收到精煉廠的檢驗(yàn)報(bào)告的48小時(shí)內(nèi)，最終的貨款將通過(guò)轉(zhuǎn)賬到賣方指定的銀行賬戶，付款通知將視為合同的一部分及擁有相等的法律效力
PROCEDURE: 程序：
1. Buyer signs this Agreement and e-mails it to Seller for his signature. Seller sends signed Agreement to the Buyer via e-mail.

2. The Buyer shall advise his/her bank to issue a Swift message MT799 For prove of fund as ability to affect the payment after Assay report for the value of the gold dust and sent via SWIFT to Sellers Bank as a security for the two parties.
買方要通知其銀行發(fā)出MT799的電文做資金支付能力證明以便驗(yàn)貨認(rèn)可后能電匯給賣方銀行的對(duì)雙方的保證。
3. Upon receipt of confirmation slip of the bank MT799 by Seller’s nominated bank Seller commence packaging of the said quantity and deliver to the choice of Refinery of the Buyer for final Assay to necessitate out-right full payment
一旦賣方指定銀行收到MT799電文的確認(rèn)書(shū)，將會(huì)著手包裝所說(shuō)的數(shù)量和交貨到買方選擇的精煉廠做最后的檢驗(yàn)以便全款的順利支付
4. Within 10 working days of receipt of the confirmation slip of the MT799, the Seller will depart to Buyer’s destination ( ).
在接到銀行MT799的確認(rèn)電文10天內(nèi)，賣方將動(dòng)身去買方的目的地
5. The Buyer must inspect and confirm the whole lot of the said quantity in person.

7. Payment will be facilitated by an Authority Invoice from the Seller.

8. Payment by the Buyer shall be made to the Seller's designated Bank within 5 days after receipt of final assay report from the refinery and its value will be accepted by both Buyer and Seller.
在接收到由買方指定的精煉廠發(fā)出的雙方都接受的最后檢驗(yàn)報(bào)告的5天內(nèi)買方要付款給賣方指定的銀行。
DOCUMENTS: 文件：
The shipment and delivery shall be identified with all assigned contract reference codes and numbers. Seller to provide the following documents to Buyer prior to arrival of the gold:

a) Two originals of Commercial Invoices in favour of the Buyer

h) Declaration that the gold is free and clear and of non-criminal origin, unencumbered and free of any liens, and is transferable and exportable

TITLE OF GOODS貨物所有權(quán):
The Title to the gold shall transfer from the Seller to the Buyer immediately upon clearing Customs and will be placed into the account of the Buyer at the refinery with the necessary documents. Provided, however, Buyer will not take legal ownership until the agreed price of the gold is paid as per this contract after final assay from the refinery.通關(guān)于手續(xù)一旦辦理完，黃金的所有權(quán)由賣方轉(zhuǎn)移給買方，并同必要的文件一同置于買方的提煉廠。但是，如果在提煉廠做出最后化驗(yàn)后，買方?jīng)]有根據(jù)本合同約定好的黃金價(jià)格與預(yù)付款，則買方?jīng)]有法律所有權(quán)。
CLEAR TITLE明確所有權(quán):
Seller confirms and warrants that the Title of the gold to be sold herein will be free and clear of any and all Liens and encumbrances and Seller states that the gold is not of terrorist and/or criminal origin.賣方確認(rèn)并保證，在這里出售的黃金所有權(quán)無(wú)任何留置權(quán)和產(chǎn)權(quán)負(fù)擔(dān)。賣方申明，黃金不是來(lái)自罪犯和、或恐怖主義分子。
WARRANTIES特約條款:
a) The Seller shall pay all the required duties and charges in country of export.賣方應(yīng)支付所有出口所需的費(fèi)用。

b) Seller warrants that the commodity can be shipped to anywhere in the world without restrictions.賣方保證商品不受任何限制的運(yùn)送到世界的任何一個(gè)地方。

d) The Seller agrees to accept the final assay report from the Buyer's designated refinery, accepting payment of each shipment after final assay of the gold.賣方同意接受買方指定的提煉廠的最終化驗(yàn)報(bào)告，接受黃金化驗(yàn)后的每批貨物的付款。

f) Additional charges due to the excessive impurity content of the gold will be deducted from the amount payable to the Seller.由于黃金雜質(zhì)含量過(guò)高，附加費(fèi)將扣除后支付給賣方。
FORCE MAJEURE不可抗力:
The parties hereto shall not be held liable for any failure to perform under the "Force Majeure" clause as regulated by the International Chamber of Commerce, Paris - France which clauses are deemed to be incorporated herein. 法國(guó)巴黎國(guó)際商會(huì)規(guī)定的“不可抗力”條款納入本合同。雙方應(yīng)執(zhí)行不可抗力條款。
ETHICS: (NON-CIRCUMVENTION and NON-DISCLOSURE)
誠(chéng)信：(非規(guī)避和保密)
Buyer and Seller and Carrier acknowledge that the harm to the other party would be substantial and therefore the Seller and Buyer agree to abide by the Customary International rules of non-circumvention and non-disclosure as established by the International Chamber of Commerce in Paris, France for a period of five (5) years from the date hereof. Said Non-circumvention and non-disclosure shall include, but not be limited to communicating with each other's banks, refiners, representatives of Buyer dealing with Customs, brokers or Seller's mandate. The understanding and accord of this subparagraph will survive the termination of this Agreement.買方，賣方和承運(yùn)人承認(rèn)對(duì)方的傷害將是巨大的，因此，賣方和買方同意在本合同生效起五年之內(nèi)，遵守法國(guó)巴黎國(guó)際商會(huì)制定的國(guó)際慣例的非規(guī)避和保密規(guī)則。非規(guī)避和保密規(guī)則應(yīng)當(dāng)包括但不限于：與對(duì)方的銀行，提煉廠，處理通關(guān)的買方代表，經(jīng)紀(jì)人或賣方的委托人的交流。本條款將在本協(xié)議終止之日失效。
TOTAL AGREEMENT整個(gè)合同:
This Agreement supersedes any and all prior agreements and represents the entire Agreement between the parties. No changes, alterations or substitutions shall be permitted unless the same shall be notified in writing and signed by both parties.本協(xié)議取代任何及所有先前的協(xié)議，代表雙方之間的全部協(xié)議。除非有經(jīng)雙方簽字的書(shū)面通知，否則禁止改動(dòng)或替換。
EXECUTION OF THIS AGREEMENT本合同的執(zhí)行:
The terms of this Agreement shall be Confirmed and signed by the Buyer and the Seller and carrier via facsimile or Email. Said executed facsimile or email shall be binding and initiates and concludes the legal liabilities between Buyer and Seller of this Agreement.By signing below, all parties abide by their corporate and legal responsibility, and execute this Agreement under full penalty of perjury. Any dispute or disagreement of any kind between the signatories to this agreement shall be resolved by binding arbitration in accordance with the laws of Ghana and the arbitration tribunal shall consist of three (3) arbitrators chosen by the parties from a slate of eight (8) proposed arbitrators provided...本合同條款由買方，賣方和承運(yùn)人通過(guò)傳真或電子郵件確認(rèn)并簽署。傳真或電子郵件對(duì)買方和賣方之間就此合同的法律責(zé)任具有約束力。在簽署本合同之后，各方遵守他們的法律責(zé)任，若違反此合同，將處與罰款。任何爭(zhēng)議或簽署合同出現(xiàn)的分歧應(yīng)在加納法律下通過(guò)有約束力的仲裁解決，仲裁庭由買賣雙方在備選的八名仲裁員中挑選三名組成。
If the parties are unable to agree on all three arbitrators within seven (7) days after receipt of the slate provided, an appointment shall be made by the Arbitration body. The decision of the tribunal shall be final and binding and no appeal shall lie there from. The tribunal shall have the power to order one party to contribute to the reasonable costs and expenses of the other party, or to pay all or any portion of the costs of the arbitration, as the panel determines in its discretion. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof, plus any and all court costs, attorney fees and any other costs or charges reasonably necessary to adjudicate the controversy.如果在收到仲裁員做出的判定的七日內(nèi)雙方仍無(wú)法達(dá)成一致，那么將由仲裁機(jī)構(gòu)作出判決。仲裁機(jī)構(gòu)的裁決是不可更改的，具有約束力，不得提出上訴。仲裁機(jī)構(gòu)有權(quán)責(zé)令一方支付另一方合理費(fèi)用，仲裁委員會(huì)裁量決定其支付全部或任何部分的仲裁費(fèi)用。由仲裁員作出的裁決，以及任何訴訟費(fèi)，律師費(fèi)及任何其他費(fèi)用，可以上訴任何有管轄權(quán)的法院對(duì)爭(zhēng)議進(jìn)行合理的裁決。
EXECUTION OF AGREEMENT合同的執(zhí)行:
This agreement may be executed in any number of counterparts, and by the parties on separate counterparts, each of which so executed and delivered will be an original, but all the counterparts will together constitute one and same agreement. The parties agree that all signatures to this contract are deemed original when transmitted electronically and the contract are deemed original copy when transmitted electronically via e-mail.本合同雙方任何數(shù)量的副本均可執(zhí)行，每一個(gè)執(zhí)行及交付的將是正本，但所有的副本構(gòu)成一份相同的合同。雙方同意，通過(guò)電子郵件傳送時(shí)，本合同的簽名視為正本。

黃金買賣合同范本(二)
甲方：
乙方：
甲、乙雙方本著平等協(xié)商、誠(chéng)實(shí)信用的原則，就甲方為乙方提供黃金現(xiàn)貨買賣服務(wù)的有關(guān)事項(xiàng)訂立本協(xié)議。
第一章 開(kāi)立賬戶
第一條 乙方在甲方開(kāi)立賬戶，甲方為乙方提供一個(gè)資金帳號(hào)。
第二條 乙方按照甲方指定的銀行賬號(hào)存入貨幣資金，乙方提取資金或銷戶時(shí)，甲方將資金匯入乙方指定的出入金銀行賬號(hào)。
第三條 乙方有權(quán)隨時(shí)查詢自己的與黃金現(xiàn)貨買賣相關(guān)的原始憑證;有權(quán)隨時(shí)了解自己帳戶的資金情況或?qū)嵨稂S金情況，甲方應(yīng)當(dāng)予以積極配合。
第二章、現(xiàn)貨買賣方式
第四條 乙方可以通過(guò)電話、電腦等方式進(jìn)行黃金現(xiàn)貨買賣，甲方有權(quán)進(jìn)行同步錄音或者用其他方式保留原始買賣記錄。
乙方同意：
1、甲方的電話錄音、電腦記錄等在業(yè)務(wù)過(guò)程中形成的記錄具有法律效力;
2、不論乙方以何種方式進(jìn)行買賣，若乙方在下一日開(kāi)市前沒(méi)有對(duì)每日結(jié)算單提出書(shū)面異議，則視為乙方對(duì)買賣記錄的認(rèn)可。
第三章 買賣約定
第五條 乙方確知，黃金現(xiàn)貨買賣因時(shí)機(jī)而變動(dòng)，而且分秒變動(dòng)，并承認(rèn)即使按照公布的價(jià)格，也有可能無(wú)法成交。
第六條 乙方將接受并遵守甲方規(guī)定的一切黃金現(xiàn)貨買賣規(guī)則或其他有關(guān)黃金現(xiàn)貨買賣的規(guī)定事項(xiàng)。
第七條 根據(jù)有關(guān)規(guī)定，乙方自行承擔(dān)黃金現(xiàn)貨買賣的相關(guān)稅項(xiàng)及征稅。乙方確認(rèn)，乙方買賣的實(shí)物黃金由甲方或甲方指定的銀行代為保管。
第四章 實(shí)物交收
第八條 乙方應(yīng)當(dāng)按照甲方的規(guī)定向甲方提出交收申請(qǐng)，并提交增值稅發(fā)票等相關(guān)憑證及票據(jù)。
第九條 貨款的交收依照甲方交收辦法執(zhí)行。
第五章 資金帳戶管理
第十條 甲方在指定的清算銀行開(kāi)設(shè)客戶資金帳戶
第十一條 甲方為乙方設(shè)置資金明細(xì)賬，并在每日結(jié)算單中報(bào)告資金賬戶資金和實(shí)物黃金余額及資金和實(shí)物黃金的劃轉(zhuǎn)情況。
第十二條 在下列情況下，甲方有權(quán)從乙方資金帳戶中劃轉(zhuǎn)資金或黃金。
乙方買賣成交的貨款或黃金;
乙方應(yīng)當(dāng)向甲方支付的買賣手續(xù)費(fèi)和交收手續(xù)費(fèi);
為乙方支付的實(shí)物黃金運(yùn)保費(fèi);
甲方與乙方簽訂的書(shū)面協(xié)議中雙方同意的其他劃款事項(xiàng)。
第十三條 乙方資金屬于乙方所有。乙方資金不得用來(lái)抵償甲方的.債務(wù)或者挪作他用。
第六章 費(fèi)用收取
第十四條 乙方開(kāi)立賬戶需交納開(kāi)戶費(fèi)用 元人民幣。
第十五條 甲方按成交金額的一定比例向乙方收取買賣手續(xù)費(fèi)。具體比例以網(wǎng)站公布的信息為準(zhǔn)。
第十六條 乙方提取實(shí)物黃金需由甲方代為郵寄時(shí)，甲方按實(shí)際郵寄費(fèi)用向乙方收取運(yùn)保費(fèi)。
第七章 免責(zé)條款
第十七條 由于地震、火災(zāi)、戰(zhàn)爭(zhēng)等不可抗力因素導(dǎo)致的買賣中斷、延誤等風(fēng)險(xiǎn)，甲方不承擔(dān)責(zé)任，但應(yīng)在條件允許的范圍內(nèi)采取必要的補(bǔ)救措施以減少因不可抗力造成的損失。
第十八條 由于國(guó)家有關(guān)法律、法規(guī)、規(guī)章、政策的改變、緊急措施的出臺(tái)等導(dǎo)致乙方所承擔(dān)的風(fēng)險(xiǎn)，甲方不承擔(dān)責(zé)任。
第十九條 由于通訊設(shè)施中斷、電腦程序故障、電力中斷等原因?qū)е轮噶顐鬟_(dá)、執(zhí)行延遲，甲方不承擔(dān)責(zé)任。
第八章 帳戶清算
第二十條 乙方可以通過(guò)撤銷帳戶的方式，終止與甲方簽署的本協(xié)議。
第二十一條 甲方有權(quán)向乙方提出終止合同，但必須以書(shū)面形式提前一周通知乙方。
第九章 其他事項(xiàng)
第二十二條 因履行本合同而產(chǎn)生的糾紛，由雙方自行協(xié)商解決;協(xié)商不成的，可向xx市人民法院提起訴訟。
第二十三條 甲方的《開(kāi)戶登記表》為本協(xié)議不可分割的部分，要與本協(xié)議同時(shí)簽署。
第二十四 條本協(xié)議經(jīng)雙方當(dāng)事人本人或單位授權(quán)代表簽字(蓋章)后，于乙方開(kāi)戶資金匯入甲方賬戶之日起生效。
本合同一式兩份，甲乙雙方各執(zhí)一份。
